                  <text>This Agreement made and entered into this_

_day of

May 1917&gt; by and between the Hasings Women’s Club, a corporation

organized and existing under the laws of the State of Michigan and
having its principle office and place of business in the city of

Hastings, Barry County, Michigan, party of the first part, and the
Board of Education of the School District of the city of Hastings, a

“corporation organized and existing under the general school law of the
state of Michigan, party of the second part witnesseth as follows.

Whereas, the said party of the first part has established,
owns and maintains a library in the city of Hastings for the use of

its members and others, and is desirous of placing, the books, pafnphlets,

and periodicals belonging to it and other property constituting said
"library in the public school buildings of the city of Hastings, and of
consolidating the same with the library of the public schools of the

city of Hastings, and of maintaining the said consolidated library in
the new high-school building in said city, now in process of erection

and whereas the parties hereto are mutually desirous of entering into
an agreement between themselves for the care of the books, maintenance,
insurance, protection, up-keep and replacement of the same and the use
thereof by the teachers and students of the said public' schools and

other persons under such terms and conditions, rules and regulations
as shall here-after be agreed upon and established.

Now therefore, in consideration of the respective rights

and interests of the parties hereto in the establishment and maintenance
of such consolidated public library, it is agreed as follows:

I

�(1) The said' Hastings Woman’s Club, a corporation as
aforesaid, party of the first part agrees to and does hereby assign,
transfer, set over and deliver to the Board of Education of the school
district of the city of Hastings, all of their library, books,

pamphlets, periodicals and magazines belonging thereto or used in

connection therewith, and specifically mentioned and described in the

inventory and schedule annexed hereto and marked Exhibit "A”, in trust
nevertheless upon the following conditions and for the uses and purposes

hereinafter stated that is to say:
(a) The Board of Education of the school district of the

city of Hastings, agrees.to accept all of said property above mentioned
and described in the schedule exhibit "A". above referred to and to

remove the same at their own cost and expense and to install the same
in the new high school building in the city of Hastings, Michigan in

connection with the library, maintained by the public schools of said
city.

(b) The said Board of Education also agreeb to keep and
maintain said library and the books, pamphlets and periodicals therein

in as good a condition as when taken except for ordinary wear.

It agrees

to pay any and all expenses of rebinding, of cataloguing and housing the
same.

To replace any and all books that may be lost or destroyed, to

keep the same accessible to students and teachers, and the general public
under such rules and regulations as may be agreed upon and established by

the library board or commission hereby agreed to be created.

(c) To keep all of said books and property mentioned and

described in exhibit "A”. and any renewals thereof or substitutions
therefor belonging to the said party of the first part insured against

loss or damage by fire in amount and in insurers satisfactory to the

said Hastings Woman’s Club.

(d) It is understood and agreed by and between the parties
hereto that if said Board of Education of the school district of the

city of Hastings, partjr of the second part neglects, fails, or refuses

at any time to carry out the terms and conditions of this agreement,

then and from thenceforth it shall and may be lawful for the said
Hastings Womenfe* Club, their representatives or assigns or any person
lawfully designated,by it or them to enter any place* or places where

said property mentioned and described in schedule A. annexed hereto or

any renewals thereof or substitution therefor or any part of it, is
stored or kept and to repossess itself of the same or any part of it and

to remove the same or any part of it or any additions substitutions
therefor to any place it may deem advisable without opposition by the said

Board of Education or its successors or assigns.

It being expressly

understood and agreed by and between the parties hereto that the title
in said property mentioned and described in schedule A. annexed hereto

and any renewals thereof or substitutions therefor shall belong to and
remain the property of the said Hastings Womens’ Club, party of the
first part.

(e) It is further mutually understood and agreed^ that in

consideration of the fact that the Common Council of the city of Hastings

in June 1917 decided to bear the expense of librarian service to the
extent of at least one thousand dollars ($1000.00) annually; that the

Womens’ Club voted their books and their annual active dues and that the
Board of Education agreed.-to furnish suitable quarters, permit the use

of the school library and make an annual appropriation of $200.00, that
the general control of this library be left in the hands of a commission
consisting of the Mayor of the city, the President of the Hastings
Women's Club and the Superintendent of City Schools or persons appointed

�(f) It is further understood that the said library commission
when so- appointed shall hire a librarian, shall have the general charge

and supervision of all of the books, library and property mentioned and
described, in sbhedule "A", and that they shall make and establish such

reasonable by-laws, rules and regulations as in their judgment shall be

nesessary, proper and expedient for the maintenance of said library for
the control of the use of the books of the same and for such other

purposes as in their judgment shall be necessary and expedient for the

proper maintenance of the same.
(g) It is further mutually understood and agreed by and between
the parties hereto, that in consideration of the said Hastings Women's
Club part/of the first part, turning over to the said Board of Education,

party of the second part, upon the terms and conditions hereinbefore
specified, the property mentioned and described in schedule A. and that

the said Board of Education will house same, will keep and maintain all
of the books as in good condition as when taken, pay the expense of

rebinding and cataloguing, housing, caring for and maintaining the same,

will replace any books lost or destroyed, will keep the same insured with
loss if any payable to the said Hastings Women's Club, and that it will

in addition thereto consolidate said library with that, of the. school

district of the city of Hastings, and that the library owned by said school
district of the city of Hastings, shall be open to the same persons and
used in the same way and made applicable to the general public in the same
manner and shall be controlled by said library commission under the same

rules and regulations as that herein provided in relation to the library
of the Hastings Women's Club.

In consideration whereof the Hastings Women's

» Club has caused this instrument to be executed by its president and

secretary pursuant to a resolution duly passed at a regular meeting thereoif
and the Board of Education has caused there presents to be executed by its

�president and secretary, in pursuance of a resolution duly passed by

said Board of Education.
